Ambassador Terms and Conditions

1. Role

I act as an independent affiliate.

I am not an employee, worker, agent, legal representative, partner, or joint venture partner of Global Mayors Academy Limited ("GMA").

Nothing in these Terms creates an employment, agency, partnership, or other formal legal relationship between myself and GMA.

My role is solely to promote GMA's programs using approved materials and my unique affiliate link.

I have no authority to make legal commitments, representations, or contractual promises on behalf of GMA.

2. Affiliate Levels and Sub-Affiliates

I may invite others to join the affiliate program using my unique affiliate sign-up link.

Affiliates that I recruit

• A person who joins using my affiliate link becomes my sub-affiliate
• A person who joins using my sub-affiliate's link becomes my sub-sub affiliate

Affiliates who referred me

• If I join using another affiliate's link, that person is my referring affiliate
• If my referring affiliate joined using another affiliate's link, that person is my second-level referring affiliate

Each affiliate:

• receives their own unique tracking link
• may refer additional affiliates
• participates in the commission structure described below
• has commissions automatically tracked and attributed through the system

3. Commission Structure

GMA operates a 3-tier affiliate commission system:

• Tier 1 (Direct Seller): 21%
• Tier 2 (Referring affiliate of direct seller): 9%
• Tier 3 (Second-level referring affiliate of direct seller): 5%

How tiers work

Example 1: I make the sale myself

• I receive the Tier 1 commission (21%)
• If I have a referring affiliate they receive the Tier 2 commission (9%)
• If I have a second-level referring affiliate they receive the Tier 3 commission (5%)

Example 2: My sub-affiliate makes the sale

• My sub-affiliate receives the Tier 1 commission (21%)
• I receive the Tier 2 commission (9%)
• If I have a referring affiliate they receive the Tier 3 commission (5%)

Example 3: My sub-sub affiliate makes the sale

• The sub-sub affiliate receives the Tier 1 commission (21%)
• Their referring affiliate (my sub-affiliate) receives the Tier 2 commission (9%)
• I receive the Tier 3 commission (5%)

Discounts

I may offer promotional discount codes of up to 20%

However:

• Commissions remain payable only where the total discount applied is 50% or less
• If the total discount exceeds 50%, no affiliate commission is payable

Commission is always calculated on the actual net revenue received by GMA after all approved discounts, scholarships, waivers, refunds, and payment reversals.

4. Commission Eligibility

Commission is earned only when all of the following conditions are met:

• Full participant payment has been successfully processed
• The participant has attended or passed the first live session threshold
• The applicable refund window has closed
• No refund request, chargeback, dispute, or payment reversal is pending

If a participant later receives:

• a refund
• a chargeback
• a payment reversal
• a cancellation adjustment

then GMA reserves the right to:

• void unpaid commission
• withhold pending commission
• recover or offset previously paid commission

5. Payment Terms

Commission becomes payable only once eligibility conditions have been satisfied.

Before payment:

• GMA requests a valid invoice
• The invoice must match the commission shown in the affiliate system
• GMA may reconcile invoice amounts against internal records

A valid invoice must include:

• affiliate legal name
• address
• invoice date
• payment details
• any applicable tax/VAT number where required

Payment will be made within 30 days of approval of a valid invoice.

Payments due to me will be made via PayPal or only in instances where PayPal is not available in my jurisdiction, another payment method approved by GMA.

I am responsible for maintaining and providing accurate payment details.

6. Tracking & Attribution

Tracking is handled through GMA's affiliate platform (currently CC360 / Go High Level).

• My unique affiliate link must be used for guaranteed attribution
• Commission is based on system-recorded attribution only

If tracking fails:

GMA will make reasonable efforts to investigate where there is clear evidence of referral activity.

However: final attribution decisions remain at GMA's discretion.

Manual adjustments are not guaranteed.

7. Affiliate Portal

In my Affiliate Portal I may view:

• my downline
• clicks
• referrals
• sales
• commission totals

The affiliate system is the primary operational reference for commission reporting.

8. Affiliate Responsibilities

I agree to:

• represent GMA accurately, professionally, and ethically
• use only approved materials
• comply with applicable laws in my jurisdiction
• respect GMA's brand reputation

I agree not to:

• misrepresent pricing
• misrepresent program accreditation
• exaggerate outcomes or benefits
• make unauthorized claims about funding, career advancement, or guaranteed results
• offer unauthorized discounts
• engage in deceptive, manipulative, or pressure-based selling
• impersonate GMA leadership or staff
• present myself as an official representative of GMA (unless I have negotiated this and it has been authorized in writing)

9. Anti-Bribery & Ethical Conduct

Because GMA works with leaders, institutions, and public-facing stakeholders:

I agree not to offer, promise, request, or provide:

• bribes
• kickbacks
• gifts intended to improperly influence decisions
• inducements
• improper incentives of any kind

Any such conduct will result in immediate termination.

10. Data Protection

If I collect or handle personal information in connection with affiliate activity, I agree to comply with applicable privacy and data protection laws.

I may not collect, store, process, or share personal data on behalf of GMA unless expressly authorized in writing.

11. Intellectual Property

All GMA branding, logos, trademarks, program materials, messaging, documents, and intellectual property remain the sole property of GMA.

My participation grants me a limited, revocable, non-exclusive permission to use approved materials solely for affiliate promotion.

No ownership rights are transferred.

12. Taxes

I am solely responsible for:

• my own taxes
• reporting obligations
• duties
• local compliance requirements within my legal jurisdiction

GMA does not withhold or pay any taxes on my behalf.

13. Suspension / Termination

GMA may suspend or terminate my participation at any time, including where there is:

• fraud
• misrepresentation
• unethical conduct
• abuse of the affiliate system
• suspicious activity
• duplicate/self-referrals
• manipulation of tracking systems
• conduct damaging to GMA's reputation

Upon termination:

• all promotional activity must cease immediately
• affiliate access may be revoked
• unpaid commissions under investigation may be withheld

GMA reserves the right to pursue appropriate legal remedies where necessary.

14. Confidentiality

I agree not to disclose confidential GMA business information, including:

• pricing structures
• commission arrangements
• operational systems
• internal strategies
• non-public commercial information

unless authorized in writing.

15. Liability

GMA does not guarantee earnings, referrals, conversions, or financial outcomes.

To the fullest extent permitted by law:

GMA's liability is limited to valid unpaid commissions properly due.

GMA is not liable for indirect losses, business interruption, loss of opportunity, or technical platform failures outside its reasonable control.

16. Program Changes / Force Majeure

GMA reserves the right to modify, postpone, suspend, or cancel program, offers, campaigns, or operational systems where necessary.

GMA is not liable for delays or failures caused by events outside reasonable control.

17. Changes to Terms

GMA may update these Terms from time to time.

Continued participation after updated Terms are communicated constitutes acceptance of those revised Terms.

18. Governing Law

These Terms are governed by the laws of England and Wales.

Any disputes arising under these Terms shall be subject to the jurisdiction of the courts of England and Wales.

19. Entire Agreement

These Terms constitute the full agreement between myself and GMA regarding affiliate participation.

No verbal statements, informal messages, or other representations override these Terms unless confirmed in writing by the strategic management team of GMA.

20. Acceptance

By checking the acceptance box and registering:

I confirm that:

• I am at least 21 years old
• I am legally permitted to enter into this agreement
• I have read and understood these Terms
• I agree to be legally bound by them
